VelConnect provides business communication, WhatsApp marketing integrations, customer engagement solutions, marketing automation tools, campaign management, and related digital services. By registering as a vendor, accepting a vendor invitation, purchasing vendor services, or participating in the VelConnect vendor ecosystem, you agree to comply with these terms. If you do not agree to these terms, you must not register or operate as a vendor on VelConnect. ## 2. Definitions For the purposes of these terms: **VelConnect:** Refers to the VelConnect website, software platform, applications, services, and associated business operations. **Vendor:** Any individual, business, agency, reseller, service provider, or organization registered or authorized to participate in the VelConnect vendor ecosystem. **Vendor Account:** The account created or authorized for a vendor to access applicable vendor services. **Customer:** An individual or business purchasing, subscribing to, or using services provided through VelConnect or a vendor. **Services:** The software, subscriptions, integrations, marketing tools, communication services, and other offerings provided through VelConnect. **Vendor Content:** Product descriptions, service information, branding materials, advertisements, and other content submitted by a vendor. **Third-Party Services:** External platforms, APIs, payment gateways, messaging providers, hosting providers, and other services integrated with VelConnect. ## 3. Vendor Eligibility To register as a vendor, you must: 1. Be legally eligible to conduct business under applicable law. 2. Provide accurate and complete registration information. 3. Have the authority to represent the business or organization you register. 4. Provide valid contact details and any business verification documents reasonably requested by VelConnect. 5. Agree to these Vendor Terms and Conditions. 6. Comply with applicable tax, commercial, privacy, consumer protection, and other legal requirements. VelConnect may request additional documentation to verify vendor identity, business ownership, service capabilities, or payment information. Vendor registration is subject to approval where an approval process applies. Registration does not automatically guarantee access to every VelConnect feature, partnership program, or commercial opportunity. ## 4. Vendor Registration and Account Management Vendors must maintain accurate and up-to-date account information. You agree to: * Provide truthful business and contact information. * Maintain the confidentiality of your login credentials. * Protect your account against unauthorized access. * Notify VelConnect promptly of suspected fraud or account compromise. * Update your details when your business information changes. * Ensure that employees and representatives accessing your account are authorized. * Comply with applicable platform security requirements. Vendors are responsible for activities carried out through their accounts, except to the extent that applicable law provides otherwise. Vendors must not sell, transfer, rent, or share vendor accounts with unauthorized parties without prior written approval from VelConnect. ## 5. Vendor Services and Responsibilities Depending on the applicable vendor program, vendors may be permitted to: * Promote VelConnect services to prospective customers. * Refer customers to VelConnect. * Resell authorized subscriptions or services. * Provide onboarding, configuration, or implementation assistance. * Deliver marketing automation and customer engagement services. * Offer approved integrations or complementary services. * Participate in authorized affiliate, reseller, or business partnership programs. The specific rights and responsibilities of each vendor will depend on the applicable vendor agreement, subscription plan, commercial arrangement, or written authorization. Vendors must not represent themselves as employees, legal representatives, or authorized signatories of VelConnect unless expressly authorized in writing. Vendors may not make commitments, warranties, or promises on behalf of VelConnect without authorization. ## 6. Vendor Subscription Fees and Commercial Terms Certain vendor programs may require a registration fee, subscription fee, service fee, or other commercial payment. Applicable charges will be communicated through the relevant pricing page, quotation, order form, or written agreement. Unless otherwise agreed in writing: * Vendors must pay applicable fees by the specified due date. * Additional charges may apply to optional services or usage-based features. * Applicable GST and other statutory taxes may be charged as required by law. * Unpaid amounts may result in restricted access or suspension. * Vendors remain responsible for charges incurred before account termination. * Any changes to vendor pricing will be communicated in accordance with applicable agreements and law. A vendor registration fee or subscription fee does not automatically entitle a vendor to commissions, referrals, guaranteed leads, sales, or revenue. Any commission, incentive, discount, or revenue-sharing arrangement must be expressly established in the applicable vendor agreement or written commercial terms. ## 7. Vendor Commission and Revenue Sharing Where VelConnect operates a commission, affiliate, referral, reseller, or revenue-sharing program, the applicable commercial terms will specify the relevant eligibility requirements and payment conditions. These may include: * Commission rates or fixed referral rewards. * Eligible products and subscription plans. * Customer attribution and referral tracking rules. * Commission qualification periods. * Payment thresholds and settlement schedules. * Refunds, cancellations, and chargebacks. * Taxes and withholding requirements. * Circumstances in which commissions may be reversed. Unless expressly agreed in writing: 1. Vendors are not entitled to commissions merely because they have registered. 2. Commissions are payable only on qualifying transactions under the applicable program. 3. Fraudulent, self-generated, duplicate, cancelled, refunded, or otherwise ineligible transactions may be excluded. 4. VelConnect may investigate disputed referral attribution before releasing payment. 5. Vendors must provide accurate payment and tax information. 6. Vendors are responsible for their own business expenses and applicable taxes. No particular sales volume, customer acquisition level, commission income, or business return is guaranteed. Any vendor-specific commercial arrangement that differs from these general provisions will be governed by the applicable written agreement, subject to applicable law. ## 8. Vendor Products, Services, and Representations Vendors must ensure that all products and services they advertise or provide are lawful, accurately described, and suitable for the purposes represented. Vendors must not: * Publish misleading product or service descriptions. * Make false performance or revenue claims. * Misrepresent VelConnect features or pricing. * Advertise unauthorized discounts or offers. * Use deceptive sales practices. * Infringe trademarks, copyrights, or other intellectual property rights. * Promote unlawful products, services, or business activities. * Make guarantees about WhatsApp account approval, message delivery, or customer conversions without an authorized and substantiated basis. VelConnect may review, reject, restrict, or remove vendor content that violates these terms or applicable law. ## 9. Marketing and Brand Usage Vendors may use VelConnect trademarks, logos, promotional materials, and brand assets only as permitted by VelConnect's written guidelines or authorization. Vendors must: * Use approved branding materials accurately. * Avoid implying an unauthorized corporate relationship. * Refrain from altering logos or brand assets in misleading ways. * Obtain approval where required for co-branded promotions. * Comply with applicable advertising and marketing laws. All rights not expressly granted to vendors remain reserved by VelConnect or the relevant rights holder. Permission to use VelConnect branding may be withdrawn if a vendor violates these terms or the applicable brand guidelines. ## 10. WhatsApp and Messaging Compliance Vendors promoting or delivering WhatsApp-related services must comply with the applicable requirements of WhatsApp, Meta, and any other relevant messaging provider. Vendors must ensure that their activities: * Use authorized business messaging integrations. * Respect applicable consent and lawful-basis requirements. * Follow approved message-template requirements where applicable. * Honor opt-out requests and suppression lists. * Avoid unsolicited, deceptive, fraudulent, or abusive messaging. * Comply with relevant messaging limits and quality requirements. * Avoid unauthorized access to customer accounts or messaging infrastructure. * Follow applicable platform restrictions and prohibited-content rules. **Vendors must not use VelConnect to send spam or bypass third-party messaging restrictions.** VelConnect may suspend vendor access or associated campaigns if credible evidence of serious messaging abuse, policy violations, or unlawful activity arises. Third-party providers may independently restrict accounts, change requirements, or discontinue services. VelConnect does not guarantee third-party account approval, template approval, message delivery, or uninterrupted API access. ## 11. Customer Relationships and Support Unless a separate written agreement provides otherwise, vendors are responsible for the accuracy of their own sales representations and for services they independently promise or deliver to customers. Vendors must: * Communicate pricing and service scope clearly. * Avoid making unauthorized commitments on behalf of VelConnect. * Respond professionally to customer inquiries. * Escalate technical issues they cannot resolve. * Avoid misleading customers about platform capabilities. * Comply with applicable consumer protection and fair-trading requirements. Where VelConnect provides customer support directly, vendors must cooperate reasonably with the support process. Vendors must not conceal material information, misrepresent complaint outcomes, or interfere with legitimate customer requests. ## 12. Customer Data and Confidentiality Vendors may obtain access to customer information while marketing, implementing, supporting, or delivering services. Vendors must handle such information lawfully and securely. You agree to: * Collect and use customer data only for authorized purposes. * Maintain an appropriate legal basis for processing personal information. * Obtain required consents or permissions. * Use reasonable technical and organizational security measures. * Restrict access to authorized personnel. * Prevent unauthorized disclosure, copying, or transfer of customer information. * Honor applicable data access, correction, deletion, and objection requests. * Notify VelConnect promptly of relevant data breaches or suspected unauthorized access. * Delete or return information when required by applicable law or the governing agreement. Vendors must not sell, misuse, or independently exploit customer contact lists obtained through VelConnect. Where vendors process personal information on behalf of VelConnect or its customers, the parties may be required to enter into a separate Data Processing Agreement. Confidential information received through the vendor relationship must not be disclosed to unauthorized third parties. These confidentiality obligations continue after the vendor relationship ends, subject to applicable law. ## 13. Intellectual Property Rights Vendors retain ownership of intellectual property they independently own, subject to rights granted to VelConnect or third parties. Vendors must not copy, distribute, modify, reverse engineer, sublicense, or commercially exploit VelConnect software, source code, proprietary systems, or documentation except as expressly permitted by law or authorized in writing. Vendors must ensure that the content, software, materials, and trademarks they provide do not infringe third-party rights. Any license granted to use VelConnect branding or materials is limited to the authorized purpose and duration of the vendor relationship. ## 14. Prohibited Vendor Activities The following activities are prohibited: * Fraud, impersonation, or deliberate misrepresentation. * Unauthorized collection, sale, or disclosure of personal information. * Spam, phishing, or abusive messaging. * Misuse of customer accounts or credentials. * Unauthorized resale or sublicensing of VelConnect services. * Circumvention of platform security controls. * False commission or referral claims. * Manipulation of sales, referral, or campaign records. * Unauthorized use of VelConnect branding. * Discrimination, harassment, or unlawful conduct. * Activities that materially compromise platform security or business integrity. * Any other activity prohibited by applicable law or an applicable written agreement. VelConnect may investigate suspected violations and take proportionate action where appropriate. ## 15. Vendor Payments, Invoices, and Taxes Vendors are responsible for maintaining accurate financial records and complying with their applicable tax obligations. Where VelConnect makes payments to vendors, payments will be processed according to the applicable commercial agreement. Vendors must provide valid bank details, invoices, tax information, and supporting documentation where required. Applicable GST, tax withholding, reporting, and invoicing requirements will be handled in accordance with Indian law and the relevant commercial arrangement. VelConnect may withhold or delay disputed payments where reasonably necessary to investigate suspected fraud, duplicate transactions, payment reversals, or compliance issues, subject to applicable law and contractual obligations. ## 16. Vendor Complaints and Dispute Resolution Vendors should first attempt to resolve operational or commercial disputes through direct communication with VelConnect. Complaints concerning payments, commissions, account restrictions, customer attribution, or service delivery should include relevant supporting information. VelConnect will review complaints in accordance with its applicable procedures and contractual obligations. Nothing in this section removes any statutory rights or remedies available to a vendor under applicable law. ## 17. Suspension and Termination VelConnect may suspend, restrict, or terminate a vendor account where reasonably necessary, including when: * The vendor breaches these terms. * Registration information is materially inaccurate. * The vendor engages in fraud or unlawful conduct. * The vendor violates applicable messaging policies. * Required payments remain overdue. * The vendor misuses customer information. * The vendor infringes intellectual property rights. * The vendor's conduct creates a material security or operational risk. * A legal requirement or third-party platform restriction necessitates action. Where reasonably practicable and legally permitted, VelConnect may provide notice and an opportunity to remedy the violation. Vendors may terminate their participation by following the applicable cancellation or termination procedure. Upon termination: * The vendor must stop using unauthorized VelConnect branding. * Access to vendor features may be disabled. * Outstanding payment obligations remain subject to the applicable agreement. * Eligible unpaid commissions will be handled under the relevant commercial terms. * Customer information must be returned, deleted, or retained as required by applicable law and contractual obligations. * Confidentiality and other provisions intended to survive termination will continue to apply. Termination does not automatically entitle a vendor to a refund of previously paid fees. Any refund entitlement will be determined by the applicable agreement and mandatory law. ## 18. Service Availability and Third-Party Dependencies VelConnect may depend on external messaging providers, payment gateways, hosting companies, and other technology providers. Service availability may be affected by maintenance, outages, network failures, security incidents, or third-party changes. Unless expressly stated in a separate written agreement, VelConnect does not guarantee uninterrupted service or a specific level of vendor sales, customer acquisition, or messaging performance. VelConnect will address operational issues in accordance with its applicable support arrangements and legal obligations. ## 19. Indemnification To the extent permitted by applicable law, vendors agree to indemnify VelConnect against third-party claims, liabilities, losses, and reasonable expenses arising directly from: * The vendor's breach of these terms. * The vendor's unlawful activities. * Infringement of third-party intellectual property rights by vendor-provided materials. * Unauthorized or unlawful processing of customer data by the vendor. * Fraudulent or misleading vendor representations. * The vendor's violation of applicable messaging or advertising requirements. This obligation does not extend to losses to the extent caused by VelConnect's own breach, negligence, wilful misconduct, or other conduct for which indemnification cannot lawfully be excluded. ## 20. Limitation of Liability To the maximum extent permitted by applicable law, VelConnect will not be liable for indirect, incidental, special, or consequential losses arising from a vendor's participation in the platform. Examples include loss of anticipated profits, business opportunities, goodwill, or expected commission income. VelConnect does not guarantee a minimum number of customers, leads, referrals, sales, or vendor earnings. Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law. Any additional monetary limitation of liability must be expressly established in an applicable written agreement and comply with applicable law. ## 21. Changes to Vendor Terms VelConnect may update these Vendor Terms and Conditions to reflect changes in services, business models, security requirements, third-party policies, or applicable laws. The updated terms will be published on the relevant website page with a revised effective date. Where required by law or an applicable agreement, VelConnect will provide notice of material changes. Continued participation after the revised terms become effective constitutes acceptance to the extent permitted by applicable law. If a vendor does not agree to the revised terms, the vendor may discontinue participation in accordance with the applicable agreement. ## 22. Governing Law These Vendor Terms and Conditions are governed by the laws of India, subject to applicable mandatory legal requirements. The parties will attempt to resolve disputes through good-faith discussions. Where a dispute cannot be resolved amicably, it may be referred to the courts having appropriate jurisdiction under applicable law. Nothing in this section excludes any mandatory statutory remedy or jurisdictional protection. ## 23. Force Majeure VelConnect will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, government actions, telecommunications failures, widespread internet disruptions, third-party service outages, war, civil unrest, or other comparable events. Reasonable steps may be taken to minimize the impact of such events where practicable. ## 24. General Provisions **Severability:** If any provision is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law. **No waiver:** Failure to enforce a provision does not constitute a waiver of that provision. **Independent relationship:** Unless otherwise agreed in writing, vendors operate as independent businesses. These terms do not create an employment relationship, partnership, joint venture, or agency relationship. **Assignment:** Vendors may not transfer their rights or obligations under these terms without prior written approval where such approval is required by the applicable agreement. **Entire agreement:** These terms, together with applicable vendor program rules, commercial agreements, and the Privacy Policy, govern the vendor relationship. Where a separate written agreement expressly establishes different terms, the conflict will be resolved according to the agreement's stated priority and applicable law. ## 25.
